Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Themis Marketing Solutions, LLC (“Themis,” “we,” “us”), a Colorado limited liability company, and govern your access to and use of the Themis platform at themisre.com and its studio application (the “Service”).
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
01Eligibility and your account
You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a brokerage, team or other organization, you represent that you are authorized to bind it to these Terms.
You are responsible for your account, for keeping your credentials secure, and for all activity that occurs under it. Notify us promptly of any unauthorized use. The information in your profile must be accurate and kept up to date.
02Subscriptions, billing and trials
Paid plans are described on our pricing page and billed in advance on a recurring basis (for example, monthly) through our payment processor. Unless stated otherwise, subscriptions renew automatically until cancelled.
Where a free trial is offered, it converts to a paid subscription at the end of the trial period unless you cancel before it ends. You can cancel at any time from your account; cancellation stops future charges and takes effect at the end of the current billing period. Fees are exclusive of taxes, which you are responsible for. Except where required by law, payments are non-refundable.
03Advertising and boosts
The Service lets you promote (“boost”) your content. Boosts run on your own connected advertising account with the relevant platform (for example, your Meta ad account), and that platform bills you directly for ad spend. Themis does not resell ad inventory, does not act as your ad agency of record, and is not responsible for platform ad delivery, pricing or results.
You are solely responsible for the content, targeting and legality of any advertisement you run, and for complying with each platform’s advertising policies — including special requirements that apply to housing and real estate ads.
04Your content and license to us
You retain all ownership of the content you upload or create with the Service — your listings, media, videos, websites, blog posts, contacts and messages (“Your Content”). You grant Themis a worldwide, non-exclusive license to host, store, process, reproduce, modify (for formatting), and transmit Your Content solely to operate and provide the Service, including publishing it to the platforms you connect at your direction.
You represent and warrant that you own or have the necessary rights to Your Content — including all photos, video, music and MLS or listing data — and that our use of it as described will not infringe any third party’s rights or violate any law or agreement (including your MLS and IDX agreements).
05Connected accounts and third-party platforms
The Service integrates with third-party platforms and data sources, including your MLS (via the RESO Web API), Meta (Instagram and Facebook), Google (YouTube), TikTok, and property-data providers. Your use of those platforms is governed by their own terms and policies, and you authorize Themis to access and act on those accounts on your behalf.
We are not responsible for third-party platforms, their availability, or changes they make to their APIs, policies or fees, which may affect the Service without notice.
06AI-generated content
The Service uses artificial intelligence to generate videos, scripts, captions, blog posts and assistant responses. AI output may be inaccurate, incomplete or unsuitable and is provided for your review. You are responsible for reviewing, editing and approving any content before you publish it, and for ensuring it is accurate and compliant with applicable laws and platform policies.
07Acceptable use and your legal responsibilities
You agree that you will not use the Service to:
- Publish content that is unlawful, deceptive, infringing, defamatory or that violates the advertising policies of a connected platform.
- Violate fair housing and equal opportunity laws or any real estate advertising, licensing or disclosure requirements that apply to you.
- Send email to contacts without a lawful basis or required consent, or in violation of the CAN-SPAM Act or other anti-spam laws. You must honor unsubscribe requests; the Service provides an unsubscribe mechanism, and you must not send to contacts who have opted out.
- Upload data you do not have the right to use, or misuse MLS or IDX data in breach of your agreements.
- Interfere with, probe or disrupt the Service, or attempt to gain unauthorized access to it.
As between you and Themis, you are the controller of the contacts and leads you manage and the sender of the messages you send. You are responsible for complying with the laws that apply to that data and those communications.
08Our intellectual property
The Service — including its software, design, and the Themis name and logo — is owned by Themis and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; they do not transfer any of our intellectual property to you.
09Feedback
If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction or obligation to you.
10Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure, or that any marketing will produce particular results.
11Limitation of liability
To the fullest extent permitted by law, Themis and its owners and personnel will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues, data or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.
12Indemnification
You will indemnify and hold harmless Themis from any claims, damages and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
13Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or fail to pay. On termination, your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability and indemnification) will survive.
14Governing law and disputes
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Colorado will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to venue there. Before filing a claim, you agree to first contact us to try to resolve the dispute informally.
15Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.
16Miscellaneous
These Terms and the Privacy Policy are the entire agreement between you and Themis regarding the Service. If any provision is found unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
